This Service Agreement (“Agreement”) is entered into between HXI Transportation & Logistics (“HXI”) and the Customer (“Shipper”) for the transportation and logistics services described herein.

Freight Brokerage Services
Comprehensive solutions connecting your cargo with the most efficient transport routes.
Carrier Sourcing & Coordination
Strategic vetting and management of carrier partners to ensure service reliability.
Load Tracking & Communication
Real-time updates and seamless communication channels throughout the shipping process.
Documentation Management
Streamlined handling of bills of lading, permits, and essential compliance paperwork.
HXI agrees to arrange transportation services including:
HXI acts solely as a transportation broker, not as a motor carrier.
Accurate Shipment Info
Provide detailed and precise data to ensure correct routing and efficient processing.
Packaging & Labeling
Ensure all freight is properly secured and clearly labeled for transit identification.
Hazardous Materials
Mandatory declaration of all restricted or hazardous cargo to maintain safety compliance.
Laws & Regulations
Full compliance with all applicable local, state, and federal shipping regulations.
Timely Operations
Guarantee efficient loading and unloading to keep transport schedules on time.
SHIPPER RESPONSIBILITIES
Shipper agrees to:
Rate Confirmations
Rates are confirmed per shipment via a signed rate confirmation for every load.
Payment & Credit
All payment terms are governed by your specifically approved credit terms.
Late Payment Fees
Please note that late payments are subject to applicable fees per the service agreement.
RATES & PAYMENT
Claims Submission
All claims must be submitted in writing within the applicable timeframes as specified in the agreement.
Carrier Liability
Carrier liability is strictly governed by applicable federal transportation laws and regulations.
Brokerage Limits
HXI is not liable for carrier negligence beyond our defined brokerage and coordination responsibilities.
CLAIMS & LIABILITY
Effective Date
This agreement becomes fully effective immediately upon the official execution by both parties.
Standard Termination
Either party may terminate the agreement for convenience with a 30-day prior written notice.
Immediate Termination
Rights to immediate termination apply in the event of a breach of contract or non-payment issues.
TERM & TERMINATION
This Agreement shall be governed by the laws of the state in which HXI Transportation & Logistics is headquartered.
